1. Introduction and Contracting Party

These Terms of Service (the "Terms") form a binding agreement between you ("you", "User") and Green Zukini Corporation, a corporation registered in the Philippines with its principal office at Suite 8C The Valero Tower, 122 Valero St, Makati City, Metro Manila, Philippines ("Green Zukini", "GZ", "we", "us", "our").

The TRIGON™ brand and related intellectual property are owned by Idle Trades Collective ("ITC"), an unregistered brand and intellectual property holder. ITC is not a legal entity and does not enter into contracts. All contracts for TRIGON products and services are made exclusively with Green Zukini Corporation, which is licensed to operate them.

By creating an account, downloading the software, subscribing, joining a private Telegram group, or otherwise using the Services, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, our Risk Disclaimer, our Refund Policy and our Cookie Policy. If you do not agree, do not use the Services.

2. The Services

"Services" means, collectively:

• TRIGON Trade Manager™ ("Trade Manager"): a downloadable Windows desktop application (.exe) used for algorithmic trade execution, MetaTrader 5 ("MT5") integration and Discord webhook notifications, licensed on a monthly subscription basis in the Starter, Pro and Enterprise tiers and activated by JWT access keys.
• TRIGON Technology Ecosystem™: automated signal services, currently branded TRIGON Quant™, TRIGON Matrix™, TRIGON Vector™ and TRIGON Cipher™, delivered through private Telegram groups ("Signals").
• B2B Partner Program: a program for affiliates and signal providers who refer Users to the platform, subject to the Partner Program terms in Section 11.
• Our website, account dashboard, licensing and billing systems, and related support.

Features, tiers and pricing may change from time to time. Tier details shown at checkout form part of your order.

3. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding contract. You represent that you are not located in, or a resident of, a jurisdiction where use of the Services or the underlying trading activity is prohibited, and that you are not subject to applicable sanctions.

You must provide accurate information, keep your credentials and license keys confidential, and are responsible for all activity under your account. Notify us immediately at support@trigonidle.com if you suspect unauthorized access. One license is for one User. Sharing, reselling or distributing keys or Telegram group access is prohibited.

4. Software License (Trade Manager)

Subject to these Terms and payment of applicable fees, Green Zukini grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Trade Manager on devices you own or control, for your own personal or internal business use, for the duration of your active subscription.

You may not, and may not permit others to: (a) copy, modify or create derivative works; (b) reverse engineer, decompile, disassemble or attempt to extract source code, except to the extent applicable law expressly permits despite this restriction; (c) bypass, tamper with or share license keys, JWT tokens or licensing checks; (d) rent, lease, sell, sublicense or provide the software as a service to third parties; (e) remove proprietary notices; or (f) use the software to build a competing product.

The software is distributed as a Windows executable. Your computer, internet connection, MT5 installation and broker account are your responsibility. We may release updates and may require you to install them to continue using the software.

5. Signals (Telegram)

Signals are delivered through private Telegram groups to active subscribers. Signals are general, automated market information. They are not personalized to your circumstances. We do not guarantee timing, delivery, accuracy, availability or profitability of any Signal. Telegram is a third-party service we do not control, and outages, delays or policy changes by Telegram may affect delivery.

Signals and group content are confidential and for your use only. You may not copy, forward, screenshot for distribution, resell, republish or otherwise redistribute Signals.

6. No Investment Advice; Trading Risk

Green Zukini and ITC are not registered investment advisers, brokers, dealers, commodity trading advisers or financial institutions, and the Services do not constitute investment, financial, legal or tax advice or an offer or solicitation to buy or sell any instrument. You alone decide whether and how to trade, and you alone bear all resulting gains and losses. Trading leveraged products such as forex and CFDs carries a high risk of loss, including loss of more than your initial deposit in some cases. Please read our Risk Disclaimer, which forms part of these Terms.

7. Subscriptions, Fees and Automatic Renewal

• Subscriptions are billed monthly in advance and renew automatically at the then-current price at the end of each billing cycle until cancelled.
• By subscribing, you authorize recurring charges to your chosen payment method.
• Payments are processed by SCIS, our third-party payment facilitator and Merchant of Record, through the Maya payment gateway. Your statement may show SCIS or Maya as the merchant. We do not store raw card data on our servers.
• Fees are exclusive of applicable taxes, which SCIS or we may collect where required. You are responsible for bank, currency conversion and payment-processing charges levied by your provider.
• We may change prices on a going-forward basis with reasonable notice. Continued use after the effective date means you accept the new price. You may cancel before it takes effect.
• You can cancel at any time in your Account Dashboard. Cancellation stops future renewals. There are no partial refunds, as set out in our Refund Policy.

8. Automated Access Control

Access to the Signals is controlled by an automated Telegram bot linked to your subscription status. You acknowledge and agree that:

• If your subscription expires, is cancelled (effective at the end of the paid cycle), or a payment fails, the bot will automatically and immediately remove and ban your Telegram account from the private groups.
• If you renew or your payment is successfully completed, the bot will automatically unban and readmit you.
• To operate this control we process your Telegram User ID and subscription status. You must provide a correct Telegram account and may not use alternate accounts to evade the bot.
• Removal due to non-payment or expiry is not a breach by us, and no credit or refund is owed. Likewise, license keys for the Trade Manager may be deactivated when your subscription is not active.

9. Acceptable Use

You agree not to:

• violate any law or regulation, or use the Services for money laundering, fraud, market manipulation or sanctions evasion;
• share, leak or resell Signals, keys, accounts or group invitations;
• attempt to gain unauthorized access to our systems, probe or test vulnerabilities, overload or disrupt the Services, or introduce malware;
• scrape, harvest or data-mine the Services, or use automated means to access them other than the Trade Manager as intended;
• harass, spam, defame or abuse our staff, other Users or community members, or post unlawful or misleading content in any TRIGON group or channel;
• misrepresent your affiliation with us, or falsely claim guaranteed results or endorsement by us in marketing; or
• use chargebacks or payment disputes in bad faith.

10. Third-Party Services

The Services interoperate with third-party products, including MetaTrader 5 and your broker, Discord, Telegram, Maya, Cloudflare, Resend, HubSpot, Systeme.io and Make.com. These are governed by their own terms and privacy policies. We are not responsible for their availability, performance, security, fees or actions, including broker execution, slippage, rejected orders, platform outages or account restrictions.

11. B2B Partner Program

Affiliates and signal providers who join the Partner Program must comply with these Terms and any program-specific agreement, including commission schedules. Partners must make no misleading, guaranteed-return or unlicensed advisory claims, must comply with applicable advertising, financial-promotion, anti-spam and data-protection laws, and must disclose their affiliate relationship. We may withhold or reverse commissions for refunds, chargebacks, fraud or breach, and may suspend or terminate any Partner at our discretion. Partners are independent contractors and not employees, agents or legal representatives of Green Zukini or ITC.

12. Intellectual Property

TRIGON™, TRIGON Trade Manager™, TRIGON Technology Ecosystem™, TRIGON Quant™, TRIGON Matrix™, TRIGON Vector™, TRIGON Cipher™, and associated logos, names, software, algorithms, Signals, documentation and content are the intellectual property of Idle Trades Collective (ITC) and are licensed to Green Zukini Corporation, or are otherwise owned by or licensed to us. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without obligation to you.

13. Privacy

Green Zukini is the data controller of personal data collected through the Services. Our Privacy Policy explains what we collect and how we use it, including license keys, MT5 and Discord configuration data and Telegram User IDs.

14. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted or error-free operation, or that the software or Signals will be profitable or free of bugs or latency. We do not warrant that the Trade Manager will execute trades as intended, or that any strategy will produce any particular result.

15. Limitation of Liability

To the maximum extent permitted by law, neither Green Zukini, ITC, nor their respective owners, directors, officers, employees, contractors, licensors, affiliates or service providers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading losses, loss of capital, loss of data, loss of goodwill or business interruption, arising from or related to the Services, even if advised of the possibility of such damages. This includes losses caused by software errors, latency, connectivity or broker or platform failures, incorrect or delayed Signals, automated access removal, or your trading decisions.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or willful misconduct.

16. Indemnification

You agree to indemnify and hold harmless Green Zukini, ITC and their owners, officers, employees, contractors and affiliates from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your use of the Services, your trading activity, your breach of these Terms or applicable law, or your violation of any third-party rights.

17. Suspension and Termination

You may stop using the Services and cancel your subscription at any time via your Account Dashboard. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, fail to pay, create risk or legal exposure for us, or if required by law. No refund is due on termination for breach. On termination, your license ends, you must uninstall the software and stop using the Signals, and provisions that by their nature should survive (including IP, disclaimers, limitation of liability, indemnity and governing law) will survive.

18. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. The parties agree to first try to resolve any dispute in good faith by contacting support@trigonidle.com. Failing resolution within thirty (30) days, the courts of Makati City, Metro Manila, Philippines have exclusive jurisdiction, and you consent to that jurisdiction. Where mandatory consumer-protection laws of your country of residence give you non-waivable rights, nothing in this section limits them.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email, in the dashboard or on our website, and take effect on the date stated. Continued use after that date means you accept the updated Terms. If you do not agree, you must cancel before the effective date.

20. General

These Terms, together with the policies referenced above, are the entire agreement between you and Green Zukini on this subject. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor. ITC is not a party to these Terms. Notices to you may be sent to your account email. We are not liable for delay or failure caused by events beyond our reasonable control.
